Terms of Service
These Terms of Service ("Terms") govern access to synapsetel.com, our client portal and related digital properties (the "Site"), operated by SYNAPSETEL CLOUD LLC as SynapseTel Cloud ("SynapseTel," "we," "our," or "us"). By accessing or using the Site, you agree to these Terms.

1. Relationship to Enterprise Agreements
SynapseTel Cloud provides telecom orchestration, hybrid cloud modernization, DevSecOps automation and application engineering. These Terms govern website and portal use and initial request submissions; they do not purchase engineering services or authorize access to a client environment.
An executed Master Services Agreement (MSA), applicable Statement of Work (SOW), order and any agreed confidentiality or data processing terms govern paid engagements. Scope, pricing, service level objectives, warranties, liability and delivery obligations are determined by those agreements. If these Terms conflict with an executed agreement for the relevant services, the executed agreement prevails.
2. Website & Client Portal Access
The Site is intended for business and professional use by people aged eighteen (18) or older who are authorized to act for their organization. Registration alone does not grant client, organization or staff privileges.
We may reasonably restrict access to protect the Site, investigate misuse, comply with law or enforce an agreement. Any suspension, termination, notice or data-return obligation for paid services remains subject to the executed agreement and applicable law.
- Account security: Use individual accounts and protect credentials, session access and any MFA devices or recovery codes. Keep organization membership current and notify security@synapsetel.com immediately of suspected unauthorized access. Staff access requires two-step authentication.
- Acceptable use: Do not probe, scan or test vulnerabilities without prior written authorization; harvest Site content or private records using unauthorized scrapers or bots; bypass tenant or role controls; disrupt service; or submit unlawful, malicious or infringing material. A security report does not itself authorize testing.
3. Assessments, Engagements & Pricing Estimates
Published engagement phases, service descriptions and pricing structures are for planning and apply only under their stated conditions. Submitting a request, booking a session or creating an account does not create an obligation to perform services.
A formal engagement requires technical scoping and a written SOW defining target environments, dependencies, responsibilities, deliverables, acceptance criteria and payment milestones. Where the SOW permits sequential stages, clients may stop after a completed stage and retain paid deliverables according to that agreement. Published response targets do not promise unlimited capacity, guaranteed resolution or automatic 24/7 coverage. Cloud usage, licenses, taxes and third-party fees are included only if expressly stated.
4. Intellectual Property Rights
Site text, diagrams, visual design, branding and software are owned by SynapseTel Cloud or their respective licensors and are protected by applicable intellectual property laws. Third-party code, fonts and other components remain subject to their licenses. You may view and share unaltered public materials for legitimate business evaluation with attribution; other use requires the relevant permission.
You and your licensors retain rights in material you submit. You authorize the handling needed to respond, administer the portal and deliver agreed services, subject to privacy, confidentiality and contract terms. Submission does not transfer ownership of your systems or proprietary information to SynapseTel.
- Client deliverables & pre-existing tools: Under our standard SOW, once each milestone or billing period is paid, the client owns the custom configurations, Terraform/OpenTofu modules, OpenShift manifests, ENM scripts, pipelines, MCP integrations, Mermaid (.mmd) diagrams and runbooks committed to its repositories; an executed MSA/SOW that says otherwise prevails. SynapseTel retains its pre-existing frameworks, templates and generalized know-how unless expressly agreed otherwise. Third-party licensing continues to apply.
- Third-party trademarks: Ericsson, Red Hat OpenShift, Kubernetes, VMware and other third-party names or marks belong to their respective owners. References identify technologies, interoperability or factual engineering experience. They do not imply endorsement, certification, partnership or affiliation unless expressly stated.
5. Confidentiality of Initial Submissions
We treat high-level architecture inquiries as confidential business correspondence. Access is limited to authorized personnel evaluating or administering the inquiry and the operational providers needed to receive, secure and retain it, subject to applicable privacy and confidentiality terms.
Do not submit plaintext credentials, private keys, production customer data (CPNI/PII) or regulated trade secrets through public web forms. Before deep repository inspection or live-environment access, we execute a mutual Non-Disclosure Agreement (MNDA) and establish the authorized engagement boundary with your organization.
6. Disclaimers of Warranties
THE SITE AND ITS INFORMATION, INSIGHTS AND CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SYNAPSETEL CLOUD DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT REGARDING THE SITE.
The Site does not promise uninterrupted availability or that general guidance is suitable for a specific production change. Confirm technical guidance against your environment before acting. Warranties, service commitments and acceptance obligations for paid deliverables are governed exclusively by the executed MSA/SOW. These Terms do not exclude rights or obligations that cannot lawfully be excluded.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPSETEL CLOUD, ITS PRINCIPALS, ENGINEERS AND AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR NETWORK UPTIME ARISING SOLELY FROM USE OF OR INABILITY TO USE THIS PUBLIC WEBSITE. TOTAL CUMULATIVE LIABILITY FOR CLAIMS ARISING SOLELY FROM PUBLIC WEBSITE USE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).
This website-only limit does not override liability, confidentiality, security, billing or service obligations in an executed enterprise agreement. It does not exclude or limit liability or remedies that applicable law does not permit the parties to exclude or limit.
8. Governing Law, Venue & Dispute Resolution
Florida law governs these Terms and disputes arising from Site use, without regard to conflict-of-law principles and subject to mandatory laws and rights that apply to you. Any legal action under these Terms must be brought in a state or federal court in Florida with jurisdiction; the parties consent to personal jurisdiction and venue there to the extent permitted by law.
An executed enterprise agreement may specify its own governing law, venue and dispute procedure for the services it covers. These Terms do not impose mandatory arbitration, amend that procedure or waive rights that cannot lawfully be waived.
9. Modifications to These Terms
We may update these Terms to reflect changes in our operations, offerings or legal requirements. We show the revised Last Updated date above and provide any additional notice required by applicable law.
Continued Site use after an update takes effect constitutes acceptance of the revised Terms to the extent permitted by law. A website update does not amend an executed MSA, SOW, order or agreed confidentiality or data processing obligation.
